I have a CD with Windows XP on it but I was told that If I
try to upgrade my Windows Milleneum system with it that I
will have problems. I am being told that I have to buy
another Windows XP OS with which to upgrade my system.
Why can't I use the XP CD I already have? Sounds to me
like Microsoft is just trying to make more money.

Who exactly has told you exactly what? Also I would suggest that XP related
questions are probably best asked in an XP newsgroup however ....

Win Me can be upgraded to XP, both Home & Pro although it is advisable to
first run the XP Upgrade Advisor to check what applications may first have to
be uninstalled and then either reinstalled or even replaced following the
upgrade.

The XP Upgrade Advisor (UpgAdv.exe) can be downloaded from
http://www.microsoft.com/windowsxp/home/howtobuy/upgrading/advisor.asp but
note that this is a large program being around 32MB is size. If you only have
a dial-up connection it might be worth looking for a magazine that has
included the Upgrade Advisor on their cover CD. The advisor will give you a
clue as to any XP drivers required that aren't on the XP CD and programs for
which you will have to obtain updates. Some applications will have to be
uninstalled prior to upgrading after which they can often be reinstalled
although in some cases the application will first have to be upgraded to an XP
compatible version. The Upgrade Advisor is also included on the XP CD.

As for using an XP upgrade CD rather than a "full" CD. The only problem that
might arise is in the future if you only had an OEM Win Me recovery CD rather
than a Win Me CD. In such a case it would be difficult to clean install XP as
the recovery CD is unlikely to be recognised as qualifying media by the XP
upgrade CD. In such a case you would first need to install Win Me using the
recovery CD and then upgrade to XP using the XP upgrade CD. No such problem
should occur though if you have a Win Me CD (Microsoft or OEM) that has the
Win9x folder on it containing the Win Me cab files. You would then be able to
clean install XP using an upgrade CD and insert the Win Me CD when asked to
confirm you are entitled to use the upgrade version.
